CONDITIONS OF SALE

1. Any order based on this quotation is subject to acceptance by AUTAC, INC.

2. Prices Quoted are current but are subject to change upon acceptance of order by AUTAC, Inc. Purchaser will be notified of any change.

3. All shipments are F.O.B. origin. Please refer to #13 below

4. Deliveries quoted are our best current estimates. AUTAC, Inc. will not be held liable for extended deliveries due to causes beyond its control. Deliveries are subject to our abilities to obtain necessary materials.

5. Charges will be added to invoices for Special Packaging or Tooling. Such tooling and title thereto shall remain in the possession of AUTAC, INC.

6. All claims for shortages, damage or non-conformance must be made to AUTAC, INC within five (5) days of receipt of shipment.

7. All returns, regardless of reason, must receive prior written approval from AUTAC, INC. Any SPECIAL or CUSTOM cords are NOT returnable.

8. Any items that have been altered or processed WILL NOT be accepted for return.

9. The purchaser may not cancel any order for SPECIALS or CUSTOM. ALL Orders for SPECIALS and CUSTOMS are to be PREPAID. PO’s will not be processed until PREPAYMENT IS RECEIVED.

10. AUTAC, INC. reserves the right to ship 10% (10%) more or less on all items.

11. CUSTOMS AND SPECIALS must be paid in full when order is placed. These items are NON-REFUNDABLE and NON-RETURNABLE. It is the customer’s responsibility to design and purchase the proper product. No exceptions.

12. Autac’s Payment policy for customers on Terms is 30 days. Late fees will accrue starting day 31. This DOES NOT APPLY to SPECIALS and CUSTOMS see # 11

13. Autac is not responsible for damages during shipment or lost product. Autac recommends our Customers insure packages with the carrier if they would like to seek reimbursement for claims

14. Autac is not responisble for the performance or integrity of wire manufactured by other companies used to Process coiled cords.

15. Paper Seperator is guaranteed for 90% coverage. The absence of Paper Seperator does not constitute a bad part. If a customer is performing ROJ or stripping we do not accept returns. Please refer to Term 8

16. Customers can return unused and unaltered items within 30 days. No refunds will be issued nor returns accepted after 30 days for any reason.

17. Client Responsibilities and Code of Conduct
Clients are expected to provide complete, accurate, and timely information necessary to fulfill their order. Requests for work outside the scope of an existing purchase order—including but not limited to engineering, product development, and R&D—must be agreed to in writing and may incur additional charges. AUTAC, INC. does not provide unpaid deliverables, speculative work, or free product development under any circumstances.

Failure to provide adequate specifications, respond in a timely manner, or honor quoted deliverables will not absolve the purchaser from payment obligations. Repeated unreasonable demands, scope creep, or attempts to pressure AUTAC staff into uncompensated work may result in suspension or termination of service.
